Were the bank statements from 2015 - 2019 and the general ledger uploaded to Yahoo also?  I’m only seeing 2009 - 2014.  Is Yahoo being glitchy again?

When Yahoo lets me upload more they will go up. Some sites have limits on how much that can be uploaded.

The MD filings are posted on the website.  Under "The ICG" -"ICG Documents"-"Financial  Statements". They  go back to 2003. I see there are a few old statements missing and I will  resubmit them for posting.

 

As to fixture filings there is nothing to file. Anything prior to 2009 was not done by me so you will have to question others on it.

 

By the way MD  started a  requirement we file a copy of the balance sheet with the return as of 2016. The Depreciation Schedule for fixtures is part of the return. No list of any items belonging to the ICG was passed along so there is no tangible property located in MD.  Every return I scanned that I received going back to 1992 list none. All old hard copies have been passed along to the archives.

Ok.  I thought I remembered something about hard drives bought for the archives in a previous year’s acquisitions.  Wouldn’t those be required on the fixture filings as they are assets of the corporation and would then need to be accounted for in the state where we file taxes?

They are not in MD. The form states " Business Tangible Personal Property LOCATED in Maryland"

Archives and equipment existed long before I became treasurer. No filing information was ever passed along. Plus the archivists live in 2 different states. there is no reports as to where what equipment is kept where.

Hrm...  thinking here...  is that a problem we need to address...Fixtures of the corporation are bought with money from the general ledger and we are required to keep records including serial numbers, location, use, depreciation, etc.  We’re also required to report that, and one would assume from most tax laws in most states that it would have to be reported on a fixture filing that would accompany our taxes in the state that we are incorporated in.  Maybe we should probably look into that.  May not be anything, but probably better safe than sorry...

Perhaps the Archivists need to address the location of said equipment, but that's the fun of dealing with an organization that does not have a central office location. I'm sure @Bruce Mai, Nora Mai, or @Pierre Pettinger could answer your questions regarding the equipment they manage,

I’m not as concerned with the location of the equipment so much as the reporting...  that’s what got another 501c3 in trouble in the news recently.

From Yahoo: The question is about the fixture filings - any asset of the business is a fixture and usually those have to be reported to the state.  There isn’t a question on the actual assets.

Can you supply a link to this requirement? A quick search indicates the following:

 

First, Define Fixture
The general idea of a fixture filing isn’t necessarily the complicated part; it’s actually determining what constitutes as a “fixture” that can be tricky. Here are the definitions of fixtures and fixture filing under Article 9:


•    What are fixtures? Fixtures are “goods that have become so related to particular real property that an interest in them arises under real property law”. – Article 9-102(41)


•    What is a fixture filing? A fixture filing is “the filing of a financing statement covering goods that are or are to become fixtures and satisfying Section 9-502(a) and (b). The term includes the filing of a financing statement covering goods of a transmitting utility which are or are to become fixtures.” – Article 9-102(40)


What Can Be Considered a Fixture?
Based on the definition under Article 9, it would be anything that is “so related to a particular real property.

 

”The key is “so related,” which indicates the item isn’t permanent, but is still physically attached to the real property. You will likely notice a theme here: the items are secured to the building or premises, but can be removed if necessary and their removal won’t impact the structural soundness of the building or property.

 

Here are just a few examples of items that could be covered by Article 9:
•    Hotel headboards and external signs


o    Headboards are often affixed to the wall, but could be removed without compromising the physical integrity of the hotel (i.e. a support beam would compromise the hotel, but simply changing out a headboard that is secured to the wall won’t make the building tumble to the ground). Similarly, the signs you see outside the hotel identifying it’s a Holiday Inn or Marriott are attached to the building, but not permanent.


•    Gas/Fuel pumps


o    The pumps you pull up to when it’s time to fill your tank are secured to the ground with bolts (or something similar). If the pump is removed, it doesn’t impact the actual property, as a new pump could be put right back in its place. Another common fixture similar to gas/fuel pumps, would be air tanks that are secured outside places like hospitals.
Here in Cleveland, OH, there are Airgas tanks, which can be seen from the highway, that are secured on the backside of the MetroHealth campus. These tanks are affixed to the ground, but they can be removed if necessary. (pictured is an example of the tanks)


o    Walk-In Coolers, Ovens, Dishwashers, Air-vent/Oven hoods etc.


§    Equipment often seen in restaurants would likely be considered fixtures. These pieces of equipment are typically secured to the building, whether it’s the floor or the walls, but again, can be removed if necessary.
None of the Archives equipment seems to fit this definition. So I would be curious to see something that so defines it.

Form 1 Business Personal Property SDAT.  It affects ALL corporations in Maryland with Business related personal property:  furniture, fixtures, computer equipment, etc.  Now,  I’m not an accountant or an attorney, but if I’m reading this right, if the check to buy it originated from a corporation in Maryland or housing financial business in Maryland, I think we’re required to do it.

 

I’d feel better if a 501(c)3 accountant told us that we’re not.  I know if we were incorporated in VA or VT organization we would be, as I’m a VA & VT paralegal, but this reads as though we may have inadvertently missed something because of bad wording on a state form, IMHO.

Also, this is the organization that has been giving guidance in these matters to other 501c3s that I interact with through online groups and how I found out about the majority of the issues some other small non-profits are going through.

It appears that we may be required to file the form stating the type of property but there would be no Maryland tax on that property?  However, failing to file it could result in penalties based on the info from this group.

A quick read of the link Mera supplied does appear to me that we need to file this annual report. The equipment shouldn't be an issue. The question on the form, as I read it, mentions only equipment in the state of Maryland.


This report needs to be submitted by an officer, or the Vice-President of Maryland.


Which brings up another point from a Parliamentarian viewpoint. SR22 requires that the BOD appoint a Vice-President of Maryland, who must reside in that state, that is the ICG's representative there. (which also conforms to the requirements of Maryland from the link Mera supplied.) We had a VP-Maryland until February of this year: D. Jeanette Holloman. Unfortunately, as most of us know, Jeanette passed away in February.

At this point, it is up to the Board to appoint a new VP-Maryland and then file the needed report.

We could have spent the entire year pushing the fact that this organization (however dysfunctional) made it to three decades and we're still here NOT discussing how to fold.

 

That fact should be shouted from the rooftops. Where is the PR committee and what are we going to do about it?

Well you wouldn’t be uploading them to the entire BOD. Especially not as separate threads. This is not how this is done. But also, this is all a little unnecessary. All that was asked was to consider an audit.  It should not have caused mass hysteria or any sort of end of days scenario. It’s a fairly routine procedure.

We will be working up a survey that we will likely host through SurveyMonkey and then send out to the general membership through Slack, Yahoo, and, quite possibly, to a list of all ICG member emails on file.

Putting/linking the survey in the newsletter is a good idea.  Can a note be put on the ICG web page while the survey is active?

 

I looked in the Yahoo! files section and found an Excel file with survey results in it -- SurveyResults_2003.xls .  But it looks like the survey was only about how often people visited the web page. Are there any other surveys?

 

If I were doing a survey I'd want to know where the membership wears (or uses props) costumes or where their costumes are used if people make them for others; the information could be useful in ICG encouraging more events/costuming activities.

 

Something like:

 

Do you make costumes/cosplay/props for:
-- just yourself?
-- just yourself and others?
-- just for others?Where are your costumes/cosplay/props worn/used?
-- Theater
-- Private parties
-- Holidays (such as Halloween or Mardi Gras)
-- Fan convention contests (science fiction, anime, media, etc)

You can’t get 100 percent. I understand that there are about a dozen members who receive hard copy of the newsletter by mail. Patrick has their addresses. The copy could send them to a specific e address or ask them to mail in a copy of their response.

I really hate that unless Slack is open and not minimized I do not see notices of new posts. And it is only a quick flash that can't be read on the desktop screen before it disappears that something was posted somewhere. And then next to impossible to get to them with out having to scroll through every freaking post to find it.   In Yahoo I can have messages threaded and can easily see every new post without having to search. for it

Yahoo doesn’t thread anything, of course I have such difficulty getting logged in. Apparently Oath has now been dissolved by AOL in their further abandonment of Yahoo.

No, you set email delivered with filters to folders and set the folders to sort by thread. You don't know how to do that?By the way Yahoo now lists trending topics that puts  topics in a thread.

All of my email goes in to folders, but your email isn’t magic enough to thread new topics and whatnot. Of course, email is such a dying beast anyway that mine is mostly a catch all for bacon. It generally looks like this always because it is honestly too much effort to go through all the crap. I keep chucking stuff in to roll up, but meh.  No body who wants a response sends email anyway. I only look at email on my phone but I’m trapped in a car so maybe I can go weed out the garbage. 

 

Meanwhile I cannot even read anything that comes in via yahoo anymore between the formatting and the long list of replies. It’s very much non-productive.

Every message goes to a specific folder or general mail. I know how to set up to meet my needs. Why do you think I insist on all ICG mail go to the treasurer address. It gets filters to a location where I know where it will be every time.

Yes you can do that, but it doesn’t thread conversations in that channel like you can do with a proper message board or slack.
