ICG BOD Online meeting, October, 2005

 

Note on context:  Motion (09-05-01) was on the floor.  This motion was to set up a “committee of the whole” which would allow discussion among the BOD members to consider who would be allowed to view the BOD on line meetings, and who would be allowed to participate in the discussions.

By recent Presidential ruling, only BOD members are allowed to see the discussions.

 

October 4 through 9

Friendly amendment set the time for discussion at 30 days.

 

Questions were raised about the voting eligibility for BOD members who had expired ICG memberships.  President ruled that expired BOD members could vote unless they were replaced by the chapter or the chapter was dismissed from the rolls.  If anyone objects, he would stop the voting until the chapter picks a new rep.

Betsy Delaney (SiW) requested we look at the membership status of the BOD reps. 

Byron Connell (NJ/NY) pointed out that according to the by-laws, lapsed ICG membership was not cited as a reason for a BOD representative to loose voting rights.  He requested a Parliamentarian ruling.

 

October 10

In response to questions, the Treasurer, Dora Buck, reported the membership renewal dates for the ICG BOD members.  Four chapters had reps who had lapsed.  The Treasurer also reported the last time when chapters had submitted their membership updates.

October 11

The Parliamentarian (Pierre Pettinger) “reluctantly” ruled that according to the by-laws, lapsed BOD members were still able to hold their position and cast votes. 

 

Betsy Delaney (SiW) pointed out that there was a conflict between the By-Laws and Standing rules on requirement of active membership for a BOD member.

 

October 14

The Parliamentarian ruled that the by-laws trump the standing rules and the earlier ruling stood.  (Further conflicts will be brought up and dealt with later.) A BOD member must be an ICG member when appointed.

 

October 22

Only 8 votes were cast, so the ICG President ruled the motion failed.

 

Betsy Delaney (SiW)  raised question about voting rules due to an apparent conflict between by-Laws and Standing rules on how non-votes are counted in respect to votes needed to pass a motion.

 

Dana MacDermott (Recording Secretary) moved to add a new Standing rule:

 

The Online ICG BOD mailing list:

1) Any ICG member in good standing may subscribe to the ICG-BOD Yahoo Group
list. Members of the list must provide their real names to the list
maintainers to be verified as members in good standing with the ICG.

2) Any ICG member in good standing may address the ICG BOD through the
ICG-BOD Yahoo Group list if he or she is sponsored by a current ICG BOD member.

3) Any member of the ICG-BOD Yahoo Group who is not identified as an
official Chapter Representative or Officer of the Corporation may not vote
on any business brought before the BOD on the ICG-BOD Yahoo Group list.

4) Any member of the ICG-BOD Yahoo Group list may be removed from that
list, with appropriate warning, as outlined in the rules of access
published on the list in the file "mailing-lists.txt" (sent automatically
every month to all members of the list)."

 

Seconded by Betsy Delaney (SiW)

 

President Carl Mami called a 15 day recess to ascertain whether we had all chapters “present”.

 

 

October 23

Chapters were requested to check in for a roll call.

 

Byron Connell (NJ/NY) submitted a motion:

 

(1)   that the Board direct the officers to take all necessary steps to prepare
and submit to the Internal Revenue Service a "Group Exemption Letter," as provided in IRS publication 557, "Tax-Exempt Status for Your Organization," (2) that said letter include the New Jersey-New York Chapter, and (3) that said letter include any and all other chapters that desire to be included.

 

Seconded by Dora Buck (Treasurer)

 

October 24

President Carl Mami stated we are in a recess, and neither motion was given a number.

 

October 27-29

Parliamentarian Pierre Pettinger ruled that complex analysis shows conflicts in our rules about voting.  He determined (among other things rule 15 (e) to be void.  By this analysis, motion 09-05-01 actually passed.

 

Dana MacDermott (Recording Secretary) and Betsy Delaney (SiW) withdrew their subsequent motion to allow the Committee of the whole to occur.

 

October 30-31

Byron Connell (NJ/NY) requested consideration of his motion (which was originally made unknowingly during a recess) as soon as possible.

The Parliamentarian and the President indicated that as soon as the recess was over, a number would be assigned and the motion could proceed while the committee of the whole was occurring.
